Acceptance of Terms

By accessing or using Zelares, you agree to be bound by these Terms of Service. If you are using Zelares on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and all references to "you" will include that organization.

If you do not agree to these Terms, you may not access or use the Service.

Description of Service

Zelares provides a markdown editing and collaboration platform, including real-time preview, team workspaces, and related features (the "Service"). The Service is provided on an "as is" and "as available" basis.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We will make reasonable efforts to notify users of material changes.

Eligibility

You must be at least 13 years old to use the Service. By using Zelares, you represent and warrant that you meet this age requirement and that the information you provide during registration is accurate and complete.

User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You retain all ownership rights to the content you create, upload, or store on Zelares ("Your Content"). By using the Service, you grant Zelares a limited, non-exclusive, royalty-free license to host, store, display, and process Your Content solely as necessary to provide and improve the Service.

You are solely responsible for Your Content and the consequences of sharing it. Zelares does not pre-screen content but reserves the right to remove content that violates these Terms or applicable law.

Intellectual Property

Zelares and its licensors own all rights, title, and interest in and to the Service, including all software, designs, trademarks, logos, and branding. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it as described herein.

Third-Party Services

The Service may integrate with or link to third-party services, such as authentication providers or analytics tools. Zelares does not control these third-party services and is not responsible for their availability, content, or practices. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Zelares does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy, completeness, or reliability of any content available through the Service.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZELARES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ZELARES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ZELARES'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ZELARES IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Zelares and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with (a) your use of the Service, (b) Your Content, or (c) your violation of these Terms.

Termination

Zelares may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

You may stop using the Service and delete your account at any time. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, disclaimers, indemnification, and limitations of liability.

Confidentiality

You agree to maintain the confidentiality of any non-public information you may access through the Service and not to disclose such information to third parties without our prior written consent, except as required by law.

Force Majeure

Zelares shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or power outages, cyberattacks, or government actions.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

Entire Agreement

These Terms, together with our Privacy Policy constitute the entire agreement between you and Zelares regarding the Service and supersede all prior agreements and understandings, whether written or oral.
